Poor Management or Careless

I have done upgrade for my contract last year october telephonically with summer mobile,I waited for my phone from that day till last week when I ask them to cancell the because they never delivered the phone, my problem is here where will I get my upgrade fee? The increase of instalment caused by upgrade who will refund me? Now that I can upgrade will I pay onather upgrade fee? Am saying this because when I call mtn upgrade line its says \you now upgrade your contract with conditions"what are the conditions?"""
