FIO Capital – Capital not repaid after contractual exit process completed

Premium Moeletsi Resources (Pty) Ltd entered into an investment arrangement with FIO Capital (Pty) Ltd under a formal Debenture Agreement and a Short-Term Loan Agreement.

The total amount invested was R4,500,000 (R3.5 million debenture and R1 million short-term loan).

In accordance with the signed agreements, we exercised our contractual right to exit the investment and provided the required 90-day written notice requesting repayment of our capital.

That notice period has since expired.

Despite: • Complying fully with the exit provisions set out in the agreements • Issuing multiple written demands • Delivering formal settlement notices

No capital repayment has been received to date, and no contractual basis for non-payment has been provided.

As a result, the matter has been escalated through formal legal channels and reported to the relevant financial regulator.

We caution potential investors to conduct independent due diligence and ensure that exit rights and repayment mechanisms are clearly defined and enforceable before entering into similar arrangements.

We remain willing to resolve this matter amicably through repayment of the outstanding capital and any amounts contractually due.
